Terms of Sale

1. Scope

These General Terms and Conditions of Sale ("Terms") apply to all business transactions between IPC Germany GmbH ("Seller") and the buyer ("Buyer"). These Terms apply exclusively; conflicting or deviating terms of the Buyer are not recognized unless expressly agreed in writing.

2. Quotations and Orders

All quotations are non-binding unless expressly stated otherwise. A contract is formed only upon our written order confirmation. Product specifications and descriptions are for reference purposes and do not constitute guaranteed characteristics unless explicitly agreed.

3. Prices and Payment

Prices are quoted in EUR, ex-works (EXW Incoterms 2020), exclusive of VAT, packaging, and shipping costs unless otherwise stated. Payment is due within 30 days of invoice date. Late payments are subject to statutory default interest.

4. Delivery

Delivery dates are approximate unless expressly confirmed as binding. Standard lead time for stock items is 2-4 weeks; custom configurations may require 6-12 weeks. Risk passes to the Buyer upon handover to the carrier (EXW).

5. Warranty

We warrant that products are free from defects in materials and workmanship for a period of 24 months from delivery. This warranty does not cover damage caused by misuse, unauthorized modification, or normal wear and tear. Warranty claims must be submitted in writing within 14 days of discovering the defect.

6. Limitation of Liability

Our liability is limited to the purchase price of the defective product. We are not liable for indirect, consequential, or incidental damages, including loss of profit or business interruption, except in cases of gross negligence or willful misconduct.

7. Intellectual Property

All intellectual property rights in our products, documentation, and software remain with IPC Germany GmbH. The Buyer receives a non-exclusive, non-transferable license to use the products for their intended purpose.

8. Export Control

The Buyer is responsible for compliance with all applicable export control laws and regulations. Products may not be re-exported to sanctioned countries or entities without proper authorization.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Munich, Germany.
